Day 0

Find a name SSM will approve.

Most delays start here. SSM rejects names that are too close to an existing company, use restricted words, or suggest a licence you do not hold. We check your shortlist before anything is paid, so the first submission is usually the last.

Name reservation is RM50 for 30 days, under s.27 of the Companies Act 2016.

Questions founders ask us first.

Reviewed by [licensed secretary name], October 2026. Based on the Companies Act 2016 and SSM guidelines. General information, not legal advice.

Does every Sdn Bhd in Malaysia need a company secretary?
Yes. Under Section 236 of the Companies Act 2016, every company must appoint at least one company secretary within 30 days of incorporation. The secretary must be licensed by SSM or be a member of a prescribed professional body such as MAICSA or MIA.
How much does it cost to register a Sdn Bhd?
SSM charges RM1,000 to incorporate a company limited by shares, plus RM50 if you reserve the name first. Professional fees for preparing and lodging the application come on top. We show SSM fees and our fees as separate lines.
How long does registration take?
Once the name is approved and all documents are complete, SSM usually incorporates the company within one to three working days. Most delays come from rejected names or missing director details, which is why we check names first.
When is the SSM annual return due?
Within 30 days from the anniversary of your incorporation date, every year, under Section 68. The SSM fee is RM150. The deadline checker above works out your exact date.
Can a foreigner own 100% of a Sdn Bhd?
In most sectors, yes. The company still needs at least one director who ordinarily resides in Malaysia. Some regulated sectors have equity or licensing conditions, so tell us your business activity first and we will check.
Can I change my company secretary?
Yes. Your board appoints the new secretary by resolution, the outgoing secretary resigns, SSM is notified, and the statutory records are handed over. Your records belong to your company, not to the secretary.
Do you serve companies outside Kuala Lumpur, Selangor and Penang?
Yes. Most clients are in Kuala Lumpur, Selangor, Penang and Negeri Sembilan, but registration and secretarial work is done online, so we serve companies anywhere in Malaysia, including Johor, Perak, Sabah and Sarawak.
Do I need to visit an office to register a Sdn Bhd?
No. Name checks, the incorporation application, identity verification and signing can be handled online and by courier. Meetings can be held over video call.
What is beneficial ownership reporting?
Since the 2024 amendments to the Companies Act 2016, companies must identify the individuals who ultimately own or control them, keep a register of beneficial owners, lodge it with SSM and update it when it changes.
